Terms & conditions

These Terms & Conditions (the "Terms") are a binding agreement between you and PropBot AI ("PropBot", "we", "us"), a technology service operated by DIRAYA ARTIFICIAL INTELLIGENCE SERVICES - L.L.C, a limited liability company registered in Abu Dhabi, United Arab Emirates (trade licence CN-6622978, Abu Dhabi Registration Authority). They govern your use of the PropBot AI WhatsApp agent, the dashboard at app.propbotai.net and every related service (together, the "Service").

You accept these Terms by ticking the acceptance box when you create an account or when we ask you to confirm a new version in the dashboard. If you do not agree, do not use the Service.

Your acceptance is recorded electronically — Terms version, date and time, the screen you accepted on, your IP address and browser identifier — and that record is our evidence of this agreement.

If you accept on behalf of a brokerage or company, you confirm that you are authorised to bind it, and "you" means that business as well as you personally.

You must be at least 18 years old and licensed to carry on real estate brokerage activity where you operate (in Dubai, a RERA-registered broker working under a licensed brokerage).

Keep your sign-in credentials confidential. You are responsible for everything done through your account, whether or not you authorised it, until you tell us at support@propbotai.net that it has been compromised.

Your account email is your sign-in identity and receives dashboard alerts and billing receipts. Changing it requires a verification link sent to the new address, and we notify the previous address of every change.

One account per broker; you may not share an account or transfer it without our written consent.

PropBot AI provides an AI agent that answers property enquiries on your WhatsApp Business number, qualifies leads, shares listings and proposes viewing times, and a dashboard where you manage listings, leads, conversations, viewings and billing.

PropBot is a software tool for licensed brokers. We are not a real estate brokerage, an agent, a party to any transaction between you and your clients, or an adviser. Nothing in the Service is legal, financial, tax or investment advice.

Features vary by plan and we may add, change or retire features over time. We aim for high availability, but the Service is provided without an uptime guarantee.

The Service is delivered over the WhatsApp Business Platform operated by Meta. We do not control Meta. Availability, account and template approvals, messaging rules, number restrictions, quality ratings and Meta's pricing can change without notice, and a change or enforcement action by Meta is not a breach of these Terms by us.

You comply with the WhatsApp Business Messaging Policy and Commerce Policy and with Meta's terms as they apply to your number. You obtain any consent needed before messaging a lead, honour opt-out requests, and do not use the Service for unsolicited messaging.

Your WhatsApp Business Account and phone number remain yours. Where you connect them through Meta's signup flow you grant us the permissions needed to send and receive messages on your behalf, and you can withdraw them by disconnecting the number or closing your account.

You own the listings, brochures, photos, lead details and other content you upload or that leads send to your number ("Your Content"). You grant us a licence to store, process, transmit and display Your Content as needed to run the Service — including sending it to our AI provider to generate replies and to Meta to deliver messages.

You warrant that you have the right to market every listing you upload, to contact every lead the Service messages, and to share the personal data involved with us and our processors.

As between you and PropBot, you are the controller of your leads' personal data and we process it on your instructions, as described in the Privacy Policy. You are responsible for meeting your own obligations under the UAE Personal Data Protection Law and any other law that applies to you.

You may not:

• use the Service for anything unlawful, deceptive, discriminatory or harassing, or to market a property you are not entitled to market;
• send spam or unsolicited messages, or message anyone who has asked you to stop;
• upload content that infringes someone else's rights or contains malware;
• attempt to access another broker's account or data, probe or overload our systems, or circumvent a usage limit;
• copy, resell, reverse-engineer or build a competing service from the Service, or use automated tools to extract data from it;
• misrepresent who is speaking in a conversation or remove the AI disclosure.

We may investigate suspected breaches and take the steps described in Suspension and termination.

How we collect and use personal data — yours and your leads' — is described in our Privacy Policy, which forms part of these Terms. It lists our sub-processors (Google Cloud, Anthropic, Resend, Meta, Stripe and Vercel) and the regions where data is hosted.

When your account is closed, associated data is deleted or anonymized within a reasonable period, normally 30 days after closure, except where we must keep specific records by law.

The Service — its software, models, prompts, designs, trademarks and documentation — belongs to PropBot and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your brokerage while your account is in good standing, and nothing more.

Replies the AI generates on your behalf are yours to use in your business. We may use anonymized, aggregated usage data to operate and improve the Service, and we may use feedback you give us without obligation to you.

Your Content stays yours (see Your data and leads).

The Service depends on providers we do not control: Meta (WhatsApp), Google Cloud, Resend, Anthropic, Stripe, Vercel and, if you connect it, Google Calendar. Their terms apply to your use of their products, and an outage, change or enforcement action on their side may affect the Service.

Connecting Google Calendar lets the Service read your availability and create viewing events; you can disconnect it at any time from Settings.

The Service is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, express or implied, including fitness for a particular purpose, merchantability, accuracy, and uninterrupted or error-free operation.

We do not warrant that AI replies are accurate, that messages will be delivered, that leads are genuine, or that any transaction will result. You remain solely responsible for your professional conduct and your obligations to clients and regulators.

To the fullest extent permitted by law, PropBot is not liable for any indirect, incidental, special, consequential or punitive loss, or for lost commissions, lost deals, lost profits, lost data, lost goodwill or business interruption, however arising and even if we were told it was possible.

Our total liability to you for all claims arising out of or relating to the Service or these Terms is limited to the greater of the fees you paid us in the 12 months before the claim arose and AED 1,000.

Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot be limited under applicable law.

You will defend, indemnify and hold harmless PropBot and its officers, employees and contractors from any claim, loss, liability, fine or expense (including reasonable legal fees) arising from Your Content, your listings and dealings with leads and clients, your breach of these Terms or of any law or Meta policy, or any statement made to a lead that you did not verify.

You can close your account at any time from the dashboard or by writing to support@propbotai.net. Cancelling a subscription does not close the account; closing the account ends any subscription.

We may suspend or terminate your account, with notice where reasonably possible, if you breach these Terms, if a payment remains unpaid after the 7-day grace period, if Meta restricts or removes your WhatsApp number, or if we reasonably believe the account is being used unlawfully or in a way that harms other users or the Service.

On suspension the AI agent stops replying; on termination the dashboard remains available until the end of any period you have paid for, unless the termination is for breach.

Before closure you can copy your data from the dashboard. After closure we can provide a copy of your leads and listings on written request to support@propbotai.net within the 30-day retention window.

Sections that by their nature should survive — including Your data and leads, Intellectual property, Disclaimers, Limitation of liability, Indemnity, Governing law and General — survive termination.

Neither party is liable for a delay or failure caused by events beyond its reasonable control, including outages or policy enforcement by Meta or WhatsApp, cloud or AI provider outages, telecommunications failure, government action, epidemic or natural disaster. This does not excuse an obligation to pay money that is due.

These Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi.

Before starting formal proceedings, each party will try in good faith to resolve any dispute by discussion for 30 days from written notice of it.

Any dispute that is not resolved that way is subject to the exclusive jurisdiction of the onshore courts of Abu Dhabi. The English text of these Terms governs; any translation is for convenience only.

We may update these Terms. A new version carries a new effective date at the top of this page, and each version is identified by that date. When a change is material we will ask you to confirm the new version in the dashboard before you continue using the Service; continued use after that confirmation is your acceptance.

• These Terms, together with the Privacy Policy, are the entire agreement between you and PropBot about the Service and replace any earlier agreement.
• If any provision is found unenforceable, the rest remains in effect.
• You may not assign these Terms without our written consent; we may assign them to a successor to our business.
• A failure to enforce a provision is not a waiver of it.
• Notices to you go to your account email; notices to us go to support@propbotai.net. You consent to receiving notices, receipts and records electronically and agree that electronic records of acceptance and use are admissible evidence.
• These Terms create no rights for anyone other than you and PropBot.
